By accessing or using SKUcalc ("Service," "Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and SKUcalc, Inc.

2. Description of Service

SKUcalc is a web-based analytics platform designed for Amazon FBA sellers to:

• Analyze storage fee reports and inventory data
• Visualize fee trends, aged inventory metrics, and SKU-level insights
• Track multi-year storage costs and performance
• Integrate with Amazon Seller Central via SP-API
• Generate reports and export data

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use SKUcalc. By creating an account, you represent and warrant that you meet these requirements.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

You may not share your account credentials or allow others to access your account. We are not liable for any loss or damage arising from unauthorized account access.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

4. Subscription Plans and Billing

4.1 Pricing Tiers

SKUcalc offers multiple subscription plans:

• Starter: Free tier with limited features and SKU capacity
• Professional: Paid tier with unlimited SKUs and advanced features
• Enterprise: Custom pricing for large-scale operations

Current pricing is available at skucalc.com/pricing. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

4.2 Payment Terms

• Subscriptions are billed monthly or annually in advance
• Payment is due at the start of each billing cycle
• You authorize us to charge your payment method on file
• Failed payments may result in service suspension or termination
• All fees are non-refundable except as required by law or stated in Section 4.4

4.3 Free Trials

We may offer free trial periods. You will be charged when the trial ends unless you cancel before the trial expiration. Trial eligibility is limited to new users and is subject to our discretion.

4.4 Refund Policy

We offer a 14-day money-back guarantee for first-time paid subscribers. To request a refund, contact support@skucalc.com within 14 days of your initial payment. Refunds are not available for renewals or plan changes.

4.5 Cancellation

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. You will retain access until the paid period expires. No partial refunds are provided for early cancellation.

5. Acceptable Use Policy

5.1 Permitted Use

You may use SKUcalc only for lawful purposes related to analyzing your own Amazon FBA business data.

5.2 Prohibited Activities

You agree NOT to:

• Violate any laws, regulations, or third-party rights
• Access or use another user's account without permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers) to access the Service
• Attempt to gain unauthorized access to our systems or networks
• Upload malicious code, viruses, or harmful software
• Interfere with or disrupt the Service or servers
• Resell, rent, lease, or sublicense access to the Service
• Use the Service to compete with us or develop competing products
• Remove, obscure, or alter any proprietary notices

5.3 Enforcement

We reserve the right to investigate violations and take appropriate action, including account suspension or termination, without notice or refund.

6. Amazon SP-API Integration

By connecting your Amazon Seller Central account:

• You authorize SKUcalc to access your Amazon data via SP-API
• You represent that you have the right to share this data with us
• You acknowledge that your use of Amazon data is subject to Amazon's terms and policies
• You agree to comply with all Amazon Seller Central agreements

We are not affiliated with, endorsed by, or sponsored by Amazon. Amazon is a trademark of Amazon.com, Inc. or its affiliates.

7. Intellectual Property Rights

7.1 Our Property

SKUcalc and all content, features, and functionality (including but not limited to software, code, design, graphics, logos, and trademarks) are owned by SKUcalc, Inc. and are protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms.

7.3 Your Data

You retain ownership of all data you upload to SKUcalc. You grant us a limited license to process, store, and display your data solely to provide the Service.

8. Data Privacy and Security

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using SKUcalc, you consent to our data practices as described in the Privacy Policy.

• Warranties that the Service will be uninterrupted, error-free, or secure

9.2 No Financial Advice

SKUcalc provides analytics tools and visualizations for informational purposes only. We do not provide financial, investment, or business advice. All business decisions based on SKUcalc data are made at your own risk.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKUCALC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions, data loss, or security breaches
• Errors in analytics, calculations, or reports
• Decisions made based on SKUcalc data

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9.4 Third-Party Services

We are not responsible for the availability, accuracy, or content of third-party services (including Amazon SP-API). Your use of third-party services is subject to their respective terms and policies.

10. Indemnification

You agree to indemnify, defend, and hold harmless SKUcalc, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of Amazon's policies or terms
• Any data you provide to SKUcalc

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting support@skucalc.com or using the account deletion feature in your settings.

11.2 Termination by Us

We may suspend or terminate your account immediately, without notice, if:

• You breach these Terms
• Your payment method fails
• We are required to do so by law
• We discontinue the Service
• We suspect fraudulent or illegal activity

11.3 Effect of Termination

Upon termination:

• Your right to access the Service immediately ceases
• You remain liable for all outstanding fees
• We may delete your data after 30 days (you may export data before deletion)
• Sections that by their nature should survive termination will remain in effect

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@skucalc.com to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

12.2 Arbitration Agreement

If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules.

12.3 Class Action Waiver
